Constitution – Georgia Conference, AAUP

Article I – Name

The name of this organization is the Georgia Conference of the American Association of University Professors.

Article II – Purpose

The purposes of this conference are to:

  • Protect and advance the professional status and interest of all faculty.
  • Facilitate the dissemination among members and non-members of information on higher education principles and practices.
  • Assist AAUP chapters in the state of Georgia.
  • Support the policies and goals of the Association as found in the Constitution and defined in its stated policy documents.
  • Develop the necessary programs and structures to accomplish the aforementioned purposes.

In furtherance of the purposes described above, but not in limitation thereof, the conference shall have the power to conduct studies, disseminate statistics and other information, engage in various fund-raising activities, conduct promotional activities, including advertising and publicity, in or by any suitable manner or media, to hold such property as is necessary to accomplish its purposes, employ individuals to represent the conference in lawsuits, negotiations and for other purposes, and for non-profit purposes, and no part of any net earnings shall inure to benefit of any member or individual.

Article III – Members

The membership of this conference shall be limited to those persons who are national members of the American Association of University Professors.
Conference membership shall become effective upon payment of conference dues in an amount to be determined by the Executive Committee and approved by a two-thirds vote of those present at the state conference annual meeting who are eligible to vote.

Article IV – Officers

The officers of this organization shall be a president, vice-president, treasurer, and three members-at-large. At least one of the at-large members must be from a private institution.
The officers shall be elected for two-year terms and no person so elected may serve more than two consecutive terms.

President: The duties of the president shall include carrying out the policies of the conference, recommending to the Executive Committee the appointment of all committees, presiding at all conference meetings, including the Executive Committee, establishing the annual goals of the conference. In the absence of the president, the vice-president shall serve in the president’s stead. The president shall be an ex-officio member of all committees, except the nominating committee.

Vice-President: The duties of the vice-president shall include those usually appertaining to the office and those delegated by the president.

Treasurer: The treasurer shall receive the dues of the members and keep an accurate record of all money received and of all disbursements, promote the appropriate methods of dues collections to facilitate the recruitment and retention of members, prepare an annual budget and report of finances and submit these for the approval of the membership at the annual meeting. The treasurer shall preside at meetings and assume responsibility for leadership in the absence or withdrawal of the other officers, and until a new Executive Committee can be elected.

Member-at-large: The members-at-large shall advise the president as to how he can best fulfill his duties, support the conference in its activities, and serve as voting members of the Executive Committee.

Vacancies: When an officer has resigned or been disqualified, his office shall be filled by a special election at the annual meeting of the conference. The Executive Committee is empowered to fill any vacancies that occur until the special election can be held.  Any officer can resign by giving written notice to the president.

Recall: All members of the Executive Committee are subject to recall.

  1. A two-thirds vote of the members at the annual meeting, or by a petition signed by 30% of all members shall cause a recall election to be held within one month.
  2. Upon a two-thirds vote of all members casting ballots, the officer shall be recalled and shall vacate his seat on the Executive Committee.

Other Conditions: Should circumstances arise where there is one remaining officer left, an Executive Committee shall be recruited from the membership and confirmed by the membership at the annual meeting.

Executive Secretary: When deemed appropriate by the Executive Committee, with the approval of the membership at the annual meeting, an Executive Secretary shall be appointed. He shall serve at the pleasure of the Executive Committee, who shall recommend the amount, if any, of his stipend to the membership at the annual meeting.
The duties of the Executive Secretary shall be to:

  1. Assist the president and Executive Committee in carrying out their assigned duties.
  2. Report annually to the membership at the annual meeting.
  3. Establish an office and maintain all conference records and correspondence.
  4. With the approval of the president, he will call meetings of the Executive Committee and assist the president in conducting all meetings.
  5. Be responsible for carrying out all duties assigned him by the Executive Committee and by the membership at the annual meeting.

Article V – Committees

Executive Committee: The Executive Committee shall consist of the officers as elected by the membership, the past-president, and chairmen of the standing committees. It shall act as the governing body of the conference. A majority of the elected members shall constitute a quorum for conduct of business of the committee.
Among the duties of the Executive Committee are the following:

  1. Set the agenda for the annual meeting.
  2. Make the necessary appointments to fulfill an unexpired term for any appointed or elected committee.
  3. Determine the duties and activities of the Executive Secretary.
  4. Report through the president the activities of the conference at the annual meeting.

Nominating Committee: A nominating committee, consisting of at least three members and chaired by the immediate past-president of the conference, shall be appointed by the president. It shall convene every other year in order to prepare a slate of nominees for the offices of the conference, and present this slate to the membership at every other annual meeting. The election of all officers shall be by a plurality of votes cast by those eligible to vote.

Other Committees: The president, with the approval of the Executive Committee, shall establish such other committees as are deemed necessary to promote the welfare of the conference and assist the Executive Committee in carrying out its duties.

Article VI – Meetings

The conference shall hold an annual meeting, the time and place to be determined by the Executive Committee. Special meetings may be called by the president or by a majority of the Executive Committee. The Executive Secretary shall inform all officers and committee chairmen of the special meeting.

Article VII – Amendments

This constitution may be amended by a three-fourths vote of the members voting at the annual meeting. A proposed amendment shall be distributed to all chapter presidents at least 30 days prior to the meeting.

Article VIII – Dues

The amount of dues levied shall be determined by the Executive Committee and approved by a majority voting at the annual meeting.

Article IX –

Robert’s Rules of Order, revised, shall be the authority for this conference in matters of parliamentary procedure.
